Terms and Conditions

These terms and conditions ("Terms and Conditions"), including the Privacy Policy and other documents referred to herein (the “Agreement”), constitute a legal agreement between you ("you" or "your") and Youni Inc. ("Youni"). By using the Services or clicking the acceptance button, you agree to these Terms. If you do not agree, do not access or use the Youni Solution.

1. Definitions

• Access Information: See Section 6.
• Agreement: As defined in the opening paragraph.
• Applicable Law: Any domestic or international law, rule, statute, regulation, or guideline applicable during the term of this Agreement.
• Application: See Section 2(a)(ii).
• Youni Partner: An entity that uses or promotes the Youni Solution.
• Youni Solution: Youni's website, services, and content.
• Confidential Information: Proprietary information from Youni.
• Content: As defined in Section 2(a)(i).
• De-identified Data: As defined in Section 5.
• Governmental or Regulatory Authority: Any government or regulatory entity.
• Party/Parties: Youni and you.
• Personal Information: Information about an identifiable individual.
• Privacy Policy: See Section 4(e).
• Program: A study program or related educational experience.
• Recruiter: A representative for Applications.
• Services: As defined in Section 2.
• Submission: As defined in Section 11(a).
• Terms and Conditions: As defined in the first paragraph.
• Your Data: See Section 4(a)(i).

2. Services

Youni provides the following Services:

1. Information Access: Access to content on the Youni website, including information about Youni Partners.
2. Application Submission: Ability to submit data for application purposes via the Youni Solution.
3. Application Facilitation: Support in communications with Youni Partners, payment handling, and application guidance.

3. License to Use the Youni Solution

Youni grants you a personal, non-exclusive, revocable, non-transferable license to access and use the Youni Solution for submitting Applications to Youni Partners.

4. Your Data

Your Data Must Be Complete and Accurate

To use the Youni Solution, you must provide accurate, up-to-date Personal Information and any required permissions.

Ownership of Your Data

Ownership of Your Data remains with you, and Youni is not liable for the accuracy or quality of Your Data.

Consent to Data Processing

You consent to the collection, processing, and disclosure of Your Data as required to use the Youni Solution.

Privacy Policy

Youni handles your data in accordance with the Privacy Policy. Youni reserves the right to disclose Personal Information as required by law.

5. De-Identified Data

Youni may use aggregated, anonymized data for business purposes, including analytics, product development, and marketing.

6. Your Access Information

Youni provides Access Information for personal use only. Do not share Access Information with unauthorized users.

7. Your Representations and Warranties

You represent and warrant that:

• You have the legal authority to enter this Agreement.
• You will not misuse the Youni Solution.
• Your Data is accurate and complete.
• You will comply with all applicable laws.

8. Restrictions and Limitations on Your Use of the Youni Solution

• Access to Programs: Only some Youni Partners allow applications through the Youni Solution.
• Usage Policies: Comply with Youni's usage policies, including storage and equipment requirements.
• Data Integrity: Backup Your Data regularly.
• Prohibited Activities: Do not hack, reverse-engineer, or misuse the Youni Solution.

9. Changes to Terms and Conditions; Suspension or Termination

• Changes to Terms: Youni may update these Terms at any time. Continued use constitutes acceptance of the updated terms.
• Service Modifications: Youni may modify, suspend, or terminate the Youni Solution without liability.

10. Fees, Payment, and Taxes

• Fees: Pay all applicable fees as listed on Youni’s website.
• Late Payments: Interest applies to overdue payments.
• Taxes: You are responsible for any applicable taxes.

11. Confidential Information

You must keep all Confidential Information, as well as the terms of this Agreement, strictly confidential.

12. Intellectual Property

The Youni Solution is owned by Youni and is protected by copyright and other intellectual property laws.

13. Term and Termination

This Agreement starts upon your acceptance and may be terminated by either Party with 30 days' notice. In case of breach, Youni reserves the right to terminate immediately.

14. Disclaimers and Limitations of Liability

Youni provides the Youni Solution "as-is" without warranties. Youni is not liable for indirect, incidental, or consequential damages arising from your use of the Youni Solution.

15. General Provisions

• Force Majeure: Youni is not liable for delays beyond its control.
• Notices: Send notices via registered mail or email.
• No Waiver: Failure to enforce any right does not waive Youni’s rights.
• Governing Law: This Agreement is governed by Romanian law.
